           in relation to this website and any successor website. In the case of information supplied using our online editor, we will only use
           that information for the purposes of providing our website services to you, fulfilling our obligations under these terms and
           conditions, analysing and learning from the use of our templates, and enforcing our legal rights.

 

13.3   You grant to us the right to sub-license the rights licensed under Section 13.2.

14.    Payments
 

14.1    The fees in respect of our website services and document licences will be as set out on the website from time to time.

 

14.2    All amounts stated in these terms and conditions or on our website are stated inclusive of our country’s VAT (unless the context
             suggests otherwise).

 

14.3    You must pay to us the fees in respect of our website services in advance, in cleared funds, in accordance with any instructions on
             our website.

14.4    We may vary fees from time to time by posting new fees on our website, but this will not affect fees for services that have been
             previously paid.

 

14.5    If you dispute any payment made to us, you must contact us immediately and provide full details of your claim.

 

14.6    If you make an unjustified credit card, debit card or other charge-back then you will be liable to pay us, within 7 days following the
            date of our written request:

 

            (a)    an amount equal to the amount of the charge-back;

 

            (b)    all third party expenses incurred by us in relation to the charge-back (including charges made by our or your bank or payment
                     processor or card issuer);

 

            (c)    an administration fee of MYR 25.00 or 6% of the total sum, whichever higher. The fee is inclusive of our country’s VAT; and

 

            (d)    all our reasonable costs, losses and expenses incurred in recovering the amounts referred to in this Section 14.6 (including
                     without limitation legal fees and debt collection fees),

 

            and for the avoidance of doubt, if you fail to recognise or fail to remember the source of an entry on your card statement or other
            financial statement, and make a charge-back as a result, this will constitute an unjustified charge-back for the purposes of this
            Section 14.6.

 

14.7    If you owe us any amount under or relating to these terms and conditions, we may suspend or withdraw the provision of services
             to you.

 

14.8    We may at any time set off any amount that you owe to us against any amount that we owe to you, by sending you written
             notice of the set-off.

 

15.    Refunds

 

15.1    The provisions of this Section 15 apply only where the Section is expressed to apply elsewhere in these terms and conditions.

 

15.2    You acknowledge that you have no general right to a refund under these terms and conditions.

 

15.3    Refunds will be calculated taking into account the following factors:

 

            (a)    the number of unused credits in your account;

 

            (b)    the number of instances of each relevant document you have created (with an instance being considered to have been used
                      if it has been created); and

 

             (c)    the access period remaining for each relevant document.
 

15.4    Subject to Section 15.3, we shall be responsible for calculating refunds due in accordance with this Section 15, and we may do so
             using any reasonable methodology.

 

 

16.    Confidentiality and data protection

 

16.1    This Section 16 sets out how we will treat the information that you upload to our website in the course of using our online
             document editor (the "Confidential Information") and any personal data that we may process on your behalf in the course of
             providing the services ("Personal Data").

 

16.2    We shall:

 

             (a)    keep the Confidential Information confidential;

 

             (b)    not disclose the Confidential Information to any person without your prior written consent; and

 

             (c)    use the same degree of care to protect the confidentiality of the Confidential Information as we use to protect our own
                      confidential information of a similar nature, being at least a reasonable degree of care.

 

16.3    Notwithstanding Section 16.2, we may disclose the Confidential Information to our officers, employees, professional advisers,
             insurers, agents, service providers and subcontractors who have a need to access the Confidential Information for the
             performance of their work and who are bound by a written agreement or professional obligation to protect the confidentiality of
             the Confidential Information.

 

16.4    This Section 16 imposes no obligations upon us with respect to Confidential Information that:

 

             (a)    is known to us before disclosure by you and is not subject to any other obligation of confidentiality;

             (b)    is or becomes publicly known through no act or default on our part; or

​

             (c)    is obtained by us from a third party in circumstances where we have no reason to believe that there has been a breach of an
                      obligation of confidentiality.

16.5    The restrictions in this Section 16 do not apply to the extent that any Confidential Information is required to be disclosed by any
             law or regulation, by any judicial or governmental order or request, or pursuant to disclosure requirements relating to the listing
             of our stock on any recognised stock exchange.

 

16.6    The provisions of this Section 16 shall continue in force indefinitely following the closure of your account on the website.

 

16.7    You warrant to us that you have the legal right to disclose all Confidential Information and Personal Data that you do in fact
             disclose to us under or in connection with these terms and conditions, and that the processing of that Personal Data by us in
             accordance with these terms and conditions will not breach any applicable data protection or data privacy laws (including the
             Data Protection Act 1998).

 

16.8    We warrant to you that:

 

            (a)    we will act only on your instructions in relation to the processing of Personal Data; and

            (b)    we have in place appropriate security measures (both technical and organisational) against unlawful or unauthorised
                     processing of Personal Data and against loss or corruption of Personal Data.

             (a)    we will not have full knowledge of your circumstances, and there may be circumstances which are relevant to template

                      a degree of knowledge, care and effort are required for their proper use; and

             (d)    all templates need to be adapted, and any document you produce using our online document editor may require further
                      editing after export as appropriate for your circumstances.

 

17.2    This website, our online document editor and our legal documents contain general information about legal documentation and
             the law ("Legal Information").

 

17.3    You must not rely on the Legal Information as an alternative to legal advice from your lawyer or other professional legal services
             provider.

             our sole discretion without notice or explanation; and save to the extent expressly provided otherwise in these terms and
             conditions, you will not be entitled to any compensation or other payment upon the discontinuance or alteration of any website
             services, or if we stop publishing the website.

 

18.4    To the maximum extent permitted by applicable law and subject to Section 18.1, we exclude all representations and warranties

19.8    You accept that we have an interest in limiting the personal liability of our officers and employees and, having regard to that
             interest, you acknowledge that we are a limited liability entity; you agree that you will not bring any claim personally against our

             owners and, unless stated otherwise in these terms and conditions, we do not endorse and are not affiliated with any of the
